The Company provides clients across the Southeast with information technology consulting and integration services including (i) structured cabling, (ii) data center design, build and service and (iii) advanced audio/visual, access control and security systems.
The Company had recently been through an unsuccessful M&A process when approached by an unsolicited acquiror. Since the Company had already undertaken a substantial amount of work to prepare for the previous transaction, the owners wanted to test the market to see what other strategic options might be available. Trestle was brought in to aid in that discovery process.
In response to the Company’s desire for market feedback, Trestle undertook a broad marketing process that focused on both strategic acquirors and private equity groups. The Company was sold to a private equity-backed strategic acquiror in a transaction that included cash and stock as well as earn-out payments based on future performance. The owners were able to retain operational control of the business operations through the earn-out period to help achieve the earn-out payment and maximize the future value of their equity interests in the merged entity.
